1. Introduction and Acceptance

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you," or "your") and Starforest Inc. ("Starforest," "we," "us," or "our"), located at 440 N Wolfe Rd, Sunnyvale, CA 94085, governing your use of our website and of Starforest, our product catalog service for AI shopping agents and brands (the "Service").

By using the website or the Service, you agree to these Terms. If you use them on behalf of a company, you confirm that you have the authority to bind that company, and "you" refers to that company. If you do not agree, do not use the Service.

If you have a signed agreement or order

with us, that document controls where it conflicts with these Terms.

2. Description of Service

The Service provides product information collected from retailers' public websites, such as listings, prices, availability, search rank, bestseller rank, estimated sales, and reviews, combined into one record per product. The Service:

• Gives AI agent companies access to this information through an API, an MCP server, a catalog endpoint, or bulk data files

• Gives brands reports on how AI agents recommend products in their categories, which agents recommend them, and what may explain the results

• Lets brands correct or add accurate information about their own products

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction

• Use the Service on behalf of a business, not as a consumer

• Comply with all applicable laws and regulations in your use of the Service and of the data it provides

4. Accounts and Access

4.1 Account Information

You must provide accurate account information and keep it up to date. One account is for one company. You may not share credentials with other companies.

4.2 Credentials

You are responsible for everything done with your API keys and other credentials. Keep them secret. Notify us promptly at support@thestarforest.com if you believe they have been exposed or used without authorization.

4.3 Usage Limits

We may set rate limits and usage caps for your plan. We will tell you what they are, and we may suspend requests that exceed them.

5. Permitted Use

While your account is in good standing, you may use the data we provide to build and run your own products and services, including AI agents that use it to answer questions and make recommendations for your users. You may display the data to your users as part of those products.

6. Restrictions

You may not:

• Resell, sublicense, or redistribute the data as a standalone product, or provide it to third parties in bulk

• Use the data to build a competing product data service

• Access the Service by means we have not approved, including scraping our website or circumventing rate limits

• Attempt to break, overload, or interfere with the Service, or to access other customers' data

• Remove or hide any notice that the data comes from Starforest where we require it to be kept

• Use the Service in violation of any law, including laws about consumer protection, advertising, and data protection

• Use the Service to build tools that misrepresent products, prices, or availability to shoppers

7. Neutrality

We do not accept payment from brands or retailers in exchange for better placement, rank, or prominence in the Service. Brands may correct or add accurate information about their own products. Nothing in the Service is an advertisement. If this ever changes, we will update these Terms and notify customers before the change takes effect.

8. About the Data

8.1 Accuracy

Prices, stock, and other details change constantly. We collect them on a schedule, and retailers' websites may show different information to different shoppers. The data is provided as we found it. You should not treat it as a guarantee of what a retailer will charge or have in stock.

8.2 Estimates

Estimated sales, popularity, and similar signals are calculated from public information. They are approximations, not measured figures.

8.3 No Sales by Starforest

Starforest is not a retailer or a marketplace, and is not a party to any purchase your users make.

8.4 Retailers and Brands

Retailer and brand names that appear in the Service and on our website belong to their respective owners. Their appearance does not mean they are affiliated with, or endorse, Starforest or the Service.

8.5 Reviews and Images

Product reviews and images belong to the people and companies that created them. We provide them so that agents can inform shoppers, and you must use them in a way that respects their owners' rights.

9. Billing and Payments

9.1 Fees

Fees, plans, and payment terms are set out in your order form. Unless it says otherwise, fees are billed in advance and are non-refundable, and usage above your plan's limits is billed at the rates in your order form.

9.2 Late Payment

If you do not pay on time, we may suspend your access after giving you notice.

9.3 Price Changes

We may change our pricing at the end of a subscription term with at least 30 days' advance notice by email. Continued use of the Service after the change takes effect constitutes acceptance of the new pricing.

9.4 Taxes

Fees do not include taxes. You are responsible for any sales, use, VAT, or similar taxes, other than taxes on our income.

10. Early Access

Parts of the Service may be offered as early access, beta, or preview. Those parts may change, break, or be withdrawn at any time, and we may limit who can use them. They are provided without any promises about performance or availability.

11. Intellectual Property

• Starforest owns the Service, its software, its design, and the way our data is organized and presented. These Terms do not transfer ownership of any of it to you.

• You own your own products and the information you provide to us. You grant us permission to use that information to provide the Service to you.

• Brands that correct or add product information grant us permission to include that information in the Service.

• If you send us feedback, we may use it without obligation to you.

12. Confidentiality

Information that either party marks as confidential, or that a reasonable person would understand to be confidential, must be kept confidential by the other party and used only for the purposes of this agreement. This does not apply to information that is already public, that the receiving party already knew, or that the law requires to be disclosed.

13. Privacy

Our Privacy Policy explains what personal information we collect and how we use it. It is part of these Terms.

14. Term and Termination

14.1 By You

You may close your account at any time by emailing support@thestarforest.com. Fees already paid are not refunded unless your order form says otherwise.

14.2 By Starforest

We may suspend or close your account if you breach these Terms, fail to pay, or use the Service in a way that harms Starforest, other customers, or the public. Where practical, we will warn you first.

14.3 Effect of Termination

When the agreement ends, your access stops. You must stop using the data, except for data already incorporated into records or outputs your users created before termination, unless your order form says otherwise. Sections 6, 8, 11, 12, 15, 16, 17, and 18 survive termination.

15. Disclaimer of Warranties

The website and the Service are provided "as is" and "as available." To the fullest extent permitted by law, Starforest makes no warranties, express or implied, including that the Service or the data will be accurate, complete, uninterrupted, error-free, or fit for a particular purpose.

16. Limitation of Liability

To the fullest extent permitted by law:

• Starforest is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility of such damages

• Starforest's total liability for all claims arising from these Terms or the Service is limited to the fees you paid us in the 12 months before the claim arose, or 100 US dollars if you paid nothing

These limits do not apply to a party's fraud, or to any liability that cannot be limited under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Starforest from any claims, damages, and expenses (including reasonable legal fees) arising from your products, your users, your use of the Service in breach of these Terms, or your violation of applicable law.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at support@thestarforest.com and attempt to resolve the dispute informally for a period of at least 30 days.

18.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

18.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Santa Clara County, California.

18.4 Class Action Waiver

You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

18.5 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm. Either party may bring a claim in small claims court in Santa Clara County, California, if the claim qualifies.

19. General Provisions

19.1 Changes to These Terms

We may update these Terms from time to time. For significant changes, we will give customers at least 30 days' notice by email. Continued use of the Service after changes take effect constitutes acceptance.

19.2 Entire Agreement

These Terms, together with our Privacy Policy and any order form, constitute the entire agreement between you and Starforest regarding the Service and supersede all prior agreements and understandings.

19.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

19.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by Starforest.

19.5 Assignment

You may not assign or transfer these Terms without our prior written consent. Starforest may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

19.6 Force Majeure

Starforest shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, or changes to third-party websites from which the data is collected.

19.7 Export Compliance

You must comply with United States export and sanctions laws in your use of the Service.

19.8 Notices

Notices to you will be sent to the email address associated with your account. Notices to Starforest should be sent to support@thestarforest.com or to our physical address listed in Section 1.

19.9 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.
